Commercial Contracts Counsel

Overview:

This Commercial Contracts Counsel position will be responsible for providing excellent and pragmatic commercial contracting support for the US business, including all types of procurement and commercial contracting. This individual will work with Legal Department colleagues to establish a common approach to contracting that supports an efficient, high quality and client-focused contracting experience. As an attorney for GHI, this individual will also support the business by reviewing and updating internal policies, providing training within and external to the department, and leading special and cross-functional projects requiring Legal input and support.

RESPONSIBILITIES
· Negotiate, draft and support US contracting for company stakeholders worth millions of dollars revenue and annual spend for the Company.
· Work collaboratively with Deputy General Counsel to develop and maintain legal policies and procedures for ensuring data privacy and protection globally.
· Assist in managing outside counsel and responsible for supporting the Company's commercial contracting needs.
· Be a thought leader in the department for best practices for Legal department operations and management, and lead implementation of continuous improvement projects
· Educate the Legal Department, executive leadership and other applicable company stakeholders regarding commercial and contracting best practices and Legal department policies.
· Work collaboratively and cross-functionally with subject-matter experts across the company (e.g., intellectual property, compliance, commercial, finance and the like) to ensure appropriate viewpoints, risks and opportunities, including unique and complex issues, are considered in the contracting process.
· Provide rapid, practical, creative/innovative (?) business-oriented legal/commercial contract advice directly to business clients
· Working on other commercial legal matters supporting the business as they arise
· Other duties as may be assigned by the Deputy General Counsel and Legal department leadership from time to time.
QUALIFICATIONS:

REQUIRED
· J.D. from an accredited law school, admitted to practice in California
· 5+ years of experience as a licensed attorney with a top-tier law firm and/or in-house experience in
· advanced contract drafting skills
· Able to draft and close complex commercial agreements across a variety of substantive areas, including
· Strong leadership potential and team-orientation, with the ability to influence functional stakeholders and provide the business with pragmatic legal advice
· Strong, clear communicator, able to "decide it", and communicate legal issues and solutions clearly and concisely
· Adept at thinking strategically and developing processes to enhance efficiencies and maximize leverage with limited resources
· Able to integrate and apply feedback in a professional manner
· Able to prioritize and drive to results with a high emphasis on quality and pragmatism
· Must be highly detail and multi-task oriented
· Excels in cross-functional and collaborative environments with ability to influence key stakeholders.
· Self-starter, resourceful, sense of fun, and strong work ethic

DESIRED
· Strong command of US laws applicable to the healthcare, laboratory, and/or life sciences sector, such as HIPAA
· Knowledge of intellectual property and healthcare compliance considerations pertaining to US contracting on behalf of the company.
